AFFILIATE AGREEMENT
Version 2.0 — Effective July 19, 2026. This version governs Affiliates accepted on or after the effective date. Affiliates accepted under a prior version continue under the version they accepted. TimeBolt retains an archived copy of each version and its acceptance records.
This agreement describes the terms and conditions for participation in the TimeBolt affiliate program. In this agreement, the term "Affiliate" refers to you (the applicant). "TimeBolt" refers to TimeBolt, LLC, a Missouri limited liability company, with whom you are entering this agreement. By applying to the TimeBolt affiliate program you confirm that you have read this agreement and agree to its terms and conditions.
AFFILIATE PROGRAMS
There are two Affiliate programs with TimeBolt:

Standard Program (one-time). This is the default program for all Affiliates. Standard Affiliates earn a commission of 20% of the first payment made by each new customer they refer, whichever plan the customer purchases. No commissions are paid on subsequent renewal payments.
Partner Creator Program. This program is open to: (a) creators with 20,000 or more YouTube subscribers or an equivalent audience, as assessed by TimeBolt at application review; and (b) any Affiliate who refers 20 or more qualified paying customers, who becomes eligible for promotion upon reaching that threshold. A qualified customer means a unique new customer's initial purchase, counted after the applicable refund window closes, net of refunds and chargebacks, excluding self-referrals, duplicate orders, and fraudulent transactions. Promotion is confirmed by TimeBolt following verification and takes effect for customers referred after promotion. Partner Creators earn 20% of each payment made by customers they refer, on both the initial purchase and every subsequent recurring payment, for as long as the customer remains a paying customer, including plan upgrades and added users. Each program's rate applies whichever plan the customer purchases. Partner Creators may also receive a personal 10% discount code for their audience (valid on the first payment of monthly plans only) and other benefits as communicated by TimeBolt. Discount codes are issued exclusively to Partner Creators.

The commission settings in effect when a referred customer completes their initial purchase govern all commissions associated with that customer, including applicable future subscription payments. Changes to an Affiliate's program placement or commission settings apply only to customers whose initial purchase occurs after the change becomes effective.
COMMISSIONS
For a sale to generate a commission, the customer must complete the ThriveCart order form and remit full payment for the product. Commissions can be viewed on the Affiliate Dashboard. Commissions are calculated on amounts actually paid, net of any discounts.
APPLICABILITY
This agreement applies to Affiliates who apply and are accepted on or after the effective date. Affiliates who joined under a prior version of the TimeBolt affiliate agreement continue under the terms they accepted, unless and until they expressly accept these terms (for example, by accepting a Partner Creator invitation).
PAYMENT
Commissions are paid via PayPal on the 15th of each month as a single consolidated payment. A valid business PayPal account connected to the Affiliate Dashboard is required to receive payment. TimeBolt may adjust an individual Affiliate's payout schedule, including delaying payouts where refund rates are elevated.
REFUNDS
If a customer receives a refund on a transaction for which the Affiliate has earned a commission, the commission earned on the refunded amount will be deducted from the Affiliate's balance.
SEEDED LICENSES AND DISCLOSURE
TimeBolt may, at its discretion, provide complimentary licenses to working creators for evaluation. A complimentary license does not constitute paid-customer status, does not obligate the recipient to publish anything, and does not obligate TimeBolt to any payment. Affiliates and license recipients who publish content about TimeBolt must clearly disclose their material connection to TimeBolt (including complimentary licenses, commissions, or discount codes) in accordance with the FTC Endorsement Guides and any equivalent rules in their jurisdiction.
USAGE AND OBLIGATIONS
Discount codes may be shared through the Partner Creator's approved channels (including video descriptions and spoken mentions) but must not be submitted to coupon directories, deal aggregators, browser extensions, paid-search advertisements, or unrelated third-party sites.
Affiliates are permitted to use the TimeBolt brand and marketing resources made available by TimeBolt. Logos and other assets cannot be modified. The Affiliate does not gain any trademark, copyright, or any other rights to these materials.
The Affiliate will never imply that they are acting on behalf of TimeBolt and will never advertise TimeBolt products directly. The Affiliate will never bid on advertisements that compete with TimeBolt.
The Affiliate will never represent themselves, TimeBolt, or their relationship with TimeBolt in a false or misleading way.
The Affiliate will not engage in the distribution of unsolicited bulk email (spam) mentioning or referencing TimeBolt.
TERM AND TERMINATION
Either party has the right to terminate this agreement immediately without prior notice.
If the Affiliate terminates the agreement, no further commissions will be paid for any past or future customer transactions.
If TimeBolt terminates the agreement, any balance greater than $25 USD will be paid to the Affiliate within 60 days of termination. Balances smaller than $25 will be forfeited.
If the Affiliate is in the Partner Creator Program, TimeBolt will not be obligated for any future payments after termination.
GOVERNING LAW
This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of Missouri, without regard to its conflict of laws rules.
ARBITRATION
All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the State of Missouri. An award of arbitration may be confirmed in a court of competent jurisdiction.
MODIFICATION
We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but are not limited to, changes in the scope of available commissions, commission schedules, payment procedures, and Affiliate Program rules. Continued participation in the program after notice of modification constitutes acceptance of the modified terms.
